Terms of Use for ResaleOS

1. Agreement to Terms
By accessing or using ResaleOS ("we," "our," or "us"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use the Service.
We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use of ResaleOS after changes become effective constitutes acceptance of the modified Terms.
2. Description of Service
ResaleOS is a web-based platform that enables resellers and resale businesses to:
- Manage product inventory and listings across multiple locations
- Synchronize product listings across multiple sales channels (cross-listing)
- Generate product information and enhance product images using AI-powered tools
- Process in-store and online sales via Point of Sale (POS) and ecommerce storefront
- Book and manage shipping across parcel, freight, white-glove, and local delivery carriers
- Manage consignors, calculate commissions, and process consignor payouts
- Manage vendor booths with recurring fee billing
- Calculate applicable sales tax on transactions
- Manage team member access and permissions
- View business performance through reporting and analytics
3. Eligibility and Account Registration
a. Eligibility
You must be at least 18 years old and have the legal capacity to enter into contracts to use ResaleOS. By using the Service, you represent and warrant that you meet these requirements.
b. Account Registration
To use ResaleOS, you must create an account by providing accurate and complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account, including actions taken by team members
- Notifying us immediately of any unauthorized use of your account
- Ensuring your account information remains current and accurate
c. Account Security
You are solely responsible for maintaining the security of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.
4. Acceptable Use
You agree to use ResaleOS only for lawful purposes and in accordance with these Terms. You agree NOT to:
- Violate any applicable laws or regulations
- Infringe upon the intellectual property rights of others
- Upload, post, or transmit any content that is illegal, harmful, or offensive
- Use the Service to sell prohibited items (as defined by applicable laws and platform policies)
- Attempt to gain unauthorized access to the Service or other users' accounts
- Interfere with or disrupt the Service or servers
- Use automated systems (bots, scrapers) to access the Service without permission
- Reverse engineer, decompile, or disassemble any part of the Service
- Use the Service to compete with ResaleOS or build a similar service
5. Sales Channel Integrations
a. Third-Party Platform Compliance
When you connect sales channels (eBay, Etsy, Shopify, etc.), you are responsible for:
- Complying with each platform's terms of service and policies
- Ensuring your products comply with each platform's listing requirements
- Maintaining valid API credentials and access tokens
- Understanding that each platform may have different rules, fees, and restrictions
b. Cross-Listing Responsibilities
When using cross-listing features, you acknowledge that:
- Product data will be synchronized across connected platforms
- You are responsible for ensuring product information is accurate and compliant on all platforms
- Inventory synchronization may result in overselling if not properly managed
- ResaleOS is not responsible for violations of third-party platform policies
c. Platform-Specific Requirements
You must comply with all requirements of each sales channel you connect, including but not limited to:
- Product category restrictions and prohibited items lists
- Pricing and fee structures
- Shipping and return policies
- Tax obligations specific to each platform
6. Product Listings and Inventory
a. Product Information
You are solely responsible for:
- The accuracy of all product information (titles, descriptions, images, pricing)
- Ensuring products are legal to sell in your jurisdiction
- Complying with all applicable laws regarding product sales
- Obtaining necessary licenses or permits for restricted items
b. AI-Generated Content and Images
When using AI features to generate product information or enhance product images (including background removal and AI photo staging):
- You are responsible for reviewing and verifying all AI-generated content
- AI-generated content and images are provided "as-is" and may contain errors or inaccuracies
- You must ensure AI-generated content complies with all applicable laws and platform policies
- You represent that you have the right to submit product images for AI processing
- ResaleOS is not liable for inaccuracies or quality issues in AI-generated content or images
c. Inventory Management
You are responsible for:
- Maintaining accurate inventory counts across all locations
- Ensuring inventory synchronization across platforms is accurate
- Preventing overselling or underselling
7. Point of Sale and Ecommerce
a. In-Store Sales
When using ResaleOS for in-store POS sales, you are responsible for:
- Ensuring compliance with applicable consumer protection and sales laws
- Collecting and remitting applicable sales taxes
- Providing accurate receipts and documentation to customers
- Maintaining required business licenses and permits for retail operations
b. Ecommerce Storefront
When using your ResaleOS ecommerce storefront, you are responsible for:
- Publishing accurate product information, pricing, and availability
- Honoring orders placed through your storefront
- Maintaining a clear returns and refunds policy visible to customers
- Complying with applicable ecommerce and consumer protection regulations
c. Customer Data
Customer information collected through POS and ecommerce (names, addresses, contact details) is stored in your ResaleOS account. You are responsible for handling customer data in accordance with applicable privacy laws.
8. Shipping
a. Your Shipping Responsibilities
When using ResaleOS to generate shipping labels or book delivery services, you are responsible for:
- Providing accurate sender and recipient addresses
- Accurately describing package contents, dimensions, and weight
- Complying with carrier-specific rules, restrictions, and prohibited items lists
- Complying with applicable customs and import/export regulations for international shipments
- Purchasing appropriate shipping insurance where necessary
b. Carrier Relationships
Shipping is fulfilled by third-party carriers (USPS, FedEx, UPS, Lugg, GoShare, uShip, and others). By booking a shipment through ResaleOS, you enter into a separate agreement with the selected carrier. ResaleOS is not a party to that agreement and is not liable for:
- Carrier delays, losses, or damages
- Carrier rate changes or surcharges
- Carrier refusals to ship based on package contents or destination
- Customs holds or import/export issues
c. Shipping Rates
Shipping rates displayed through ResaleOS are provided by carriers and are subject to change. Final rates may differ from estimates. You are responsible for any additional carrier-imposed fees or surcharges.
9. Consignment Management
a. Your Role as Operator
When using ResaleOS's consignment features, you act as the store operator managing the consignment relationship with your consignors. ResaleOS provides the tools to manage these relationships but is not a party to any agreement between you and your consignors.
b. Your Consignment Responsibilities
You are solely responsible for:
- The terms of your consignment agreements with consignors
- Accurately recording consigned items, sales, and commission splits
- Timely and accurate payout of consignor earnings
- Communicating clearly with consignors about balances, sales, and payouts
- Complying with applicable laws governing consignment arrangements in your jurisdiction
c. Consignor Portal
If you use the consignor self-registration portal, you are responsible for:
- The accuracy of the portal information presented to consignors
- Ensuring consignors understand how their data will be used
- Managing consignor access and permissions
d. Payouts
ResaleOS provides tools to record and track consignor payouts. Actual payment transfers (via Zelle, Venmo, PayPal, check, cash, store credit, or other methods) are conducted by you directly. ResaleOS does not process consignor payouts on your behalf and is not liable for unpaid or inaccurate consignor payments.
10. Vendor Booth Management
a. Vendor Booth Fees
When using ResaleOS to manage vendor booths with recurring fees:
- You are responsible for configuring accurate booth rental amounts and billing schedules
- Recurring fees are billed according to the schedule you set; you are responsible for ensuring these are accurate and agreed upon with your vendors
- ResaleOS is not a party to the rental agreement between you and your vendors
b. Non-Payment
If a vendor fails to pay recurring booth fees, ResaleOS provides notification and tracking tools, but it is your responsibility to manage non-payment disputes and take any legal or operational action.
c. Vendor Data
Vendor information you enter into the platform is your responsibility to keep accurate. You are responsible for obtaining any necessary consents from vendors for data collection and processing.
11. Tax Calculation
a. In-House Calculation
ResaleOS calculates applicable sales tax based on transaction addresses using in-house logic. This is provided as a convenience tool to assist with tax estimation.
b. Your Tax Responsibility
You are solely responsible for:
- The accuracy of all tax amounts collected and remitted
- Filing and remitting taxes to the appropriate tax authorities
- Determining your actual tax obligations under applicable law
- Consulting a qualified tax professional for guidance on your specific situation
ResaleOS's tax calculations are not a substitute for professional tax advice and may not reflect all applicable taxes, exemptions, or jurisdictional requirements. ResaleOS is not liable for any tax underpayments, penalties, or interest arising from your use of the tax calculation feature.
12. Team Members
a. Adding Team Members
Paid plans allow you to add team members to your ResaleOS account. By adding a team member, you:
- Grant them access to your account according to the permissions you assign
- Accept full responsibility for all actions they take within your account
- Represent that you have the authority to grant them access on behalf of your business
b. Team Member Conduct
You are responsible for ensuring your team members comply with these Terms. Any violation of these Terms by a team member is treated as a violation by you.
c. Removing Team Members
You may remove team members at any time through your account settings. You are responsible for promptly removing access when a team member's authorization ends.
13. Payment Terms
a. Subscription and Fees
ResaleOS charges subscription fees based on your selected plan, plus usage-based fees where applicable. You agree to:
- Pay all fees associated with your use of the Service
- Provide accurate payment information
- Authorize us to charge your payment method for applicable fees
- Pay any applicable taxes on your subscription
b. Pay-as-You-Go Charges
Certain features (such as cross-listings over your plan's monthly limit) may incur additional per-use charges as described on the plans page. These charges are billed automatically and are non-refundable.
c. Payment Processing
Subscription payments are processed through Stripe. In-store POS payments may be processed through Stripe, Square, or Clover, depending on your configuration. By using these payment processors, you agree to their respective terms of service. We do not store your full payment card information on our servers.
d. Refunds
Subscription fees are generally non-refundable except where required by applicable law. We reserve the right to grant refunds at our discretion on a case-by-case basis.
e. Failed Payments and Suspension
If a payment fails, we may retry the charge and will notify you. Continued non-payment may result in suspension or downgrade of your account.
14. Intellectual Property
a. Our Content
All content, features, and functionality of ResaleOS, including but not limited to:
- Software, code, and design
- Logos, trademarks, and branding
- Documentation and materials
are owned by ResaleOS or its licensors and are protected by copyright, trademark, and other intellectual property laws.
b. Your Content
You retain ownership of content you upload to ResaleOS (product listings, images, etc.). By uploading content, you grant ResaleOS a worldwide, non-exclusive, royalty-free license to:
- Use, store, and display your content to provide the Service
- Share your content with connected sales channels as necessary for cross-listing
- Process your images through AI tools to provide listing and staging features
- Use your content for service improvement and analytics (in anonymized form)
c. User-Generated Content
You represent and warrant that:
- You own or have the right to use all content you upload
- Your content does not infringe on any third-party rights
- Your content complies with all applicable laws
15. Third-Party Services
ResaleOS integrates with third-party services including Stripe, Square, Clover, Google, OpenAI, shipping carriers, and sales channel platforms. Your use of these services is subject to their respective terms of service. We are not responsible for:
- The availability or performance of third-party services
- Actions or policies of third-party service providers
- Data handling by third-party services
- Carrier delays, losses, or fulfillment failures
Third-Party Trademarks
The term "Etsy" is a trademark of Etsy, Inc. This application uses the Etsy API but is not endorsed or certified by Etsy, Inc.
All other third-party trademarks, service marks, logos, and trade names referenced in this Service are the property of their respective owners.
16. Disclaimers and Limitations of Liability
a. Service Availability
ResaleOS is provided "as-is" and "as-available." We do not guarantee:
- Uninterrupted or error-free operation
- That the Service will meet your specific requirements
- That errors will be corrected
- The accuracy of third-party integrations, shipping rates, or tax calculations
b. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RESALEOS SHALL NOT BE LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Damages arising from use or inability to use the Service
- Issues with third-party integrations or sales channels
- AI-generated content or image inaccuracies
- Inventory synchronization errors
- Shipping carrier delays, losses, or damages
- Tax underpayments, penalties, or interest
- Consignor or vendor booth payment disputes
Our total liability shall not exceed the amount you paid to ResaleOS in the 12 months preceding the claim.
c. No Warranty
THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
17. Indemnification
You agree to indemnify and hold harmless ResaleOS, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Your products or listings
- Your use of sales channel integrations
- Your consignment or vendor booth arrangements
- Your shipping bookings or carrier disputes
- Actions taken by your team members
18. Termination
a. Termination by You
You may terminate your account at any time by contacting us or using account deletion features.
b. Termination by Us
We may suspend or terminate your account if you:
- Violate these Terms
- Engage in fraudulent or illegal activity
- Fail to pay applicable fees
- Misuse the Service
c. Effect of Termination
Upon termination:
- Your access to the Service will cease
- Your data may be deleted (subject to our Privacy Policy)
- Connected sales channel integrations will be disconnected
- Recurring vendor booth fees will be cancelled
- You remain liable for any fees incurred before termination
- Provisions that by their nature should survive will survive termination
19. Dispute Resolution
a. Governing Law
These Terms are governed by the laws of the State of Connecticut, United States, without regard to conflict of law principles.
b. Dispute Resolution Process
For any disputes arising from these Terms or your use of ResaleOS:
- First, contact us at info@resaleos.co to attempt resolution
- If unresolved, disputes will be resolved through binding arbitration in Connecticut
- You waive any right to a jury trial or class action lawsuit
20. General Provisions
a. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and ResaleOS.
b. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.
c. Assignment
You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.
d. Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
